Terms of Service - Prolific

These Terms of Use ("Terms") govern your access to and use of Prolific, provided by Prolific Intelligent Solutions ("we", "us", or "our").

By creating an account, connecting your Instagram Business account, or using Prolific in any way, you agree to these Terms. If you do not agree, you must not use the Service.

1. The Service

Prolific is a software-as-a-service platform that:

Connects to your Instagram Business account via official APIs.
Reads your messages, comments, and account info as permitted by you.
Uses AI agents to generate automated DM and comment replies.
May connect to Shopify and courier providers (if you choose) to help answer order and shipping queries.

We may update, improve, or change the Service over time, including adding or removing features.

2. Eligibility

You may use Prolific only if:

You are an Instagram business owner, creator, or authorized representative of a business.
You have the legal authority to enter into these Terms on behalf of yourself or the business.
You are at least the age of majority in your jurisdiction (e.g., 18+).

You must comply with all applicable laws and all third-party platform terms (Instagram, Shopify, courier providers, etc.).

3. Account registration & security

You must provide accurate and complete information when creating your account.
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity under your account. If you suspect unauthorized access, you must notify us promptly.
We may refuse registration or close accounts at our discretion where necessary (e.g., for abuse, non-payment, or legal reasons).

4. Connecting your Instagram & integrations

By connecting your Instagram account and any other integration (Shopify, couriers, etc.) to Prolific, you:

Authorize us to access, process, and store the data permitted by those connections (e.g., messages, comments, order data).
Confirm that you have the right to grant such access on behalf of the account or business.
Agree to comply with Instagram's and other platforms' terms and policies.

You may disconnect integrations at any time, but this may limit the functionality of the Service.

5. Subscription & payments

Prolific is offered as a paid monthly subscription.

The price, billing cycle, and plan features will be shown to you at the time you subscribe.
Unless otherwise stated, subscriptions auto-renew each period until cancelled.

5.1 Payment processing

Payments are processed by our third-party payment processor (to be determined).

You authorize us and our payment processor to charge the subscription fees to your chosen payment method.

5.2 Refund policy

You may be eligible for a refund within two (2) days of your first payment, unless otherwise required by applicable law.

After two days, no refunds are provided for partial periods, unused features, or downgrades, except where required by law.

6. Acceptable use & restrictions

You agree not to use Prolific:

For illegal activities, including fraud, scams, or violating any law or regulation.
To send spam, harassment, or abusive content to users.
To publish or promote hate speech, violence, or unlawful content.
To resell, sublicense, or provide access to Prolific to third parties as a separate service.
To reverse engineer, decompile, or attempt to obtain the source code of the Service where not expressly allowed by law.
To interfere with or disrupt the Service or our infrastructure.

We may monitor usage (in an automated way) to detect abuse and protect the Service.

7. Intellectual property

The Prolific platform, including all software, design, and content we provide, is owned by Prolific Intelligent Solutions or our licensors and is protected by law.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your own business's internal use, in accordance with these Terms.

You must not copy, modify, distribute, or create derivative works of the Service except as allowed by law or with our written permission.

8. Your content & customer data

"Your Content" includes:

Messages, comments, and data from your Instagram account that pass through Prolific.
Order and customer data from Shopify or couriers that you connect.
Any prompts, instructions, or configuration you provide to the chatbot.

You retain all rights to Your Content.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and use Your Content only as necessary to:

Operate and provide the Service to you.
Maintain security, backups, and support.
Comply with legal obligations.

We do not claim ownership over your Instagram account or its followers.

You are responsible for ensuring that Your Content and your use of Prolific comply with all applicable laws and any third-party platform rules.

9. Termination & suspension

9.1 By you

You may stop using Prolific and cancel your subscription at any time via your account settings or by contacting us.

Cancellation stops future renewals; it does not automatically trigger a refund unless within the two-day refund window or required by law.

9.2 By us

We may suspend or terminate your access to Prolific, with or without notice, if:

You violate these Terms or any applicable law.
Your use creates a security or legal risk for us or others.
You fail to pay fees due.
We discontinue the Service.

Where relevant and lawful, we will try to give you prior notice and an opportunity to fix the issue.

10. Data deletion

Upon your request, we will delete:

Instagram message and comment data that we store for your account.
Other personal data associated with your account, subject to legal retention requirements.

You can request deletion by contacting [email protected]. We may retain certain logs or records where required by law or for legitimate business reasons (e.g., security, billing records).

11. Disclaimers

You understand and agree that:

Prolific relies on Instagram, Shopify, courier APIs, and AI providers. We do not control their uptime, policies, or behavior.
AI-generated responses may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing important communications and for how you use the outputs.
The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied, to the maximum extent permitted by law.

We do not guarantee:

Continuous, uninterrupted availability of the Service.
Any specific business results (e.g., sales, engagement, or follower growth).

12. Limitation of liability

To the maximum extent permitted by law:

We will not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost business, or lost data, arising out of or related to your use of Prolific.
Our total aggregate liability to you for any claims arising out of or relating to the Service or these Terms will be limited to the amount you paid to us for the Service in the twelve (12) months preceding the claim.

Some jurisdictions do not allow certain limitations or exclusions; in those cases, our liability will be limited to the maximum extent permitted by law.

13. Indemnity

You agree to indemnify and hold harmless Prolific Intelligent Solutions and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service.
Your violation of these Terms or any law.
Your violation of the rights of any third party (including your customers).

14. Changes to the Service and Terms

We may modify the Service and these Terms from time to time:

If we make material changes to the Terms, we will notify you by email, in-app notice, or other reasonable means.
Updated Terms will become effective when posted or on the date stated in the notice.

If you continue to use Prolific after changes take effect, you agree to the updated Terms. If you do not agree, you must stop using the Service.

15. Governing law & disputes

These Terms are governed by the laws of Egypt, without regard to conflict-of-law principles.

Any disputes arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Egypt, unless applicable law requires otherwise.

16. Miscellaneous

Entire agreement: These Terms, together with our Privacy Policy, form the entire agreement between you and us regarding the Service.

Severability: If any part of these Terms is found invalid or unenforceable, the remainder will stay in full force and effect.

No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of the Service.
